مصطلحات مادة القانون

[جزائرية ونص.]

1- عقد البيع :عرفت المادة 351 من ق م ج عقد البيع كما يلي : "عقد يلتزم بمقتضاه البائع أن ينقل للمشتري ملكية شيء أو حقا ماليا آخر في مقابل ثمن نقدي".

2 -عقد الشركة : تعرف المادة 416 من ق م ج الشركة عقد بمقتضاه يلتزم شخصان طبيعيان أو اعتباريان أو أكثر على المساهمة في نشاط مشترك بتقديم حصة من عمل أو مال أو نقد بهدف اقتسام الربح...).
3 - الشركة: هي عقد بمقتضاه يلتزم شخصان أو أكثر على المساهمة في نشاط مشترك بتقديم حصص من المالأو العمل لتحقيق الأرباح و اقتسامها..
4 - شركة التضامن : هي شركة تتكون من شريكين أو أكثر، يُسأل فيها الشريك عن ديون الشركة مسؤولية شخصية تضامنية. وتسمى الشركة بأسماء الشركاء، ويكتسب الشريك صفة التاجر، وتعتبر حصة الشريك غير قابلة للانتقال للغير، ولا تنتقل هذه الحصة لورثة الشريك.

5 -شركة المساهمة : تعرف المادة 592 من ق ت ج شركة المساهمة بأنها ( الشركة التي ينقسم رأسمالها إلى أسهم، وتتكون من شركاء لا يتحملون الخسائر إلا بقدر حصتهم، ولا يمكن أن يقل عدد الشركاء عن سبعة...).
6 -شركة ذات المسؤولية المحدودة : هي شركة تجارية تتحدد مسؤولية كل شريك فيها بقدر ما قدّمه من حصّته في رأس المال، ويمكن أن يكون لها عنوان وتكون حصص الشركاء فيها اسمية ولا يزيد عدد الشركاء فيها عن 20 ولا يقل رأسمالها عن 100.000 دج.

7 -شركة الأشخاص: تقوم على الاعتبار الشخصي و الثقة المتبادلة بين الشركاء (عادة يكونون أقارب) >> كشركة التضامن.

8 -شركة الأموال تقوم على الاعتبار المالي >> كشركة المساهمة.

9 -الشركة المختلطة: تتميز بامتزاج الاعتبارين الشخصي و المالي >> كالشركة ذات المسؤولية المحدودة.
10 -عقد العمل : هو اتفاق يلتزم بموجبه العامل بوضع نشاطه المهني في خدمة صاحب العمل وتحت إشرافه وإدارته وذلك مقابل أجر.

11 -قانون العمل : مجموعة القواعد القانونية و التنظيمية التي تحكم و تنظم العلاقات القائمة بين العمال الأجراء و المستخدمين
.
12 -الاتفاقية الجماعية للعمل: هي اتفاق مكتوب يتضمن شروط العمل، يبرم بين المستخدم ونقابة العمال.
13- النزاعات الجماعية للعمل: هي الخلافات التي تنشأ بين طرفي الاتفاقية (صاحب العمل و عماله) و المتعلقة بالعلاقات الاجتماعية و المهنية و الاقتصادية و شروط العمل.
14 - تعريف الإضراب: هو التوقف بصفة مؤقتة عن العمل، و هو حق يعترف به القانون ويحميه.
15 -تعريف الضريبة: مبلغ نقدي يدفعه الأشخاص(ط،م) جبرا وبصفة نهائية وبدون مقابل إلى الدولة ، قصد تحقيق المنفعة العامة.

16 - تعريف الرسم: مبلغ نقدي إلزامي محدد سلفا يدفعه الأشخاص للدولة مقابل ما تقدمه لهم من خدمات كرسوم الوثائق الإدارية (بطاقة التعريف ، جواز السفر...الخ)

17- الضرائب المباشرة: ھي الضرائب التي تفرضعلى الدخل والثروة. ویتم تحصیلھا بواسطة قوائم اسمية.

18 - الضرائب الغير مباشرة: ھي الضرائب التي تفرضعلى عملیات التداول و الاستھلاك و الخدمات المؤداة.

19-وعاء الضريبة: یقصد بھا المادة الخاضعةللضریبة .

20 -المالية العامة: هي العلم الذي يدرس القواعد الموضوعية المنظمة للنشاط المالي للهيئات العامة، أي العلم الذي يدرس المواد التي تحصل على الإيرادات العامة وكيفية إنفاقها (نفقات عامة).

21 -النفقة العامة: هي مبلغ نقدي يخرج من الذمة المالية لشخص معنوي عام (الدولة) قصد تحقيق منفعة عامة.
22 -نفقات التسيير: وهي التي تدفع من أجل تسيير مصالح الدولة وإداراتها ومؤسساتها مثل: رواتب الموظفين، شراء مواد ولوازم...إلخ.
23 -نفقات التجهيز: وهي النفقات التي تتميز بطابع الاستثمار الذي ينتج عنه زيادة في ثروة البلاد (الناتج الوطني الخام pnb)،مثل: بناء السدود والمستشفيات وشق الطرقات...إلخ.
24 -الإيرادات العامة: هي الأموال التي تحصل عليها الدولة من مختلف المصادر كالضرائب والرسوم وعائدات أملاك الدولة والقروض العامة
25 -الميزانية العامة: هي وثيقة مصادق عليها من طرف السلطة التشريعية في إطار قانون المالية، تحدّد نفقات وإيرادات الدولة خلال سنة.
26- قانون المالية: هو وثيقة مالية سنوية تتضمن الميزانية العامة للدولة وأحكام مالية مختلفة متعلقة بالإيرادات العامة.
